MDM Manufacturing Standard Terms and Conditions
All quotes, orders (submitted or received), and invoices (submitted or received) fall under the following Terms and Conditions:
Quoting: Quotes are subject to the conditions noted below:

Parts are to be manufactured using MDM Manufacturing processes and materials listed in the quote.

Lead time is dependent on backlog and material availability at the time of purchase order.

Items cannot be cancelled once an order is in process.

Inspections to be performed per Customer prints and data or MDM Manufacturing standard tolerances unless otherwise requested.

Delivery quantity variance of up to ±5% may apply unless overage limit agreed upon prior.

Pricing is based on current cost at time of quote. Final prices are based on cost and material price in effect at time of order or release. Pricing is subject to change accordingly.
Quoted Lead Time: Lead times quoted are estimated and not guaranteed. Lead times may vary due to material availability and workload increases. Estimated lead times are confirmed once the order is received.
Pricing: All prices are based off information provided to us during the RFQ process. Prices are valid for the quoted period unless otherwise stated. Quoted prices are all-inclusive, meaning all units must be purchased to obtain the quantity rate. MDM Manufacturing reserves the right to requote shortened quantities, changes in materials, finishing and/or process.
Purchase Orders: All purchase orders are reviewed against quote for accuracy. MDM Manufacturing is not responsible for changes made to Purchase Orders that are not already reflected in the quote. This includes, but is not limited to, changes in quantities, materials, color, finishing, requests for documentation (including inspection), material certifications, CoC or others.
Customer Supplied Data: MDM Manufacturing is not responsible for errors in the customer provided data. Errors include but are not limited to misrepresented dimensions, mismatches in drawing and CAD, last minute changes to customer provided data, and broken or corrupted files.
Customer Caused Delays: MDM Manufacturing is not responsible for missed lead times or deadlines due to customer-caused delays and/or holds. These delays include, but are not limited to, material changes, questions regarding customer provided data, hardware sourcing issues and/or customer requested holds. In these events, MDM Manufacturing will work to provide a new delivery date which should be reflected in an updated PO by the client.
Expedite Charges: In some cases, MDM Manufacturing can provide a quoted option for expedited lead times at the client’s request. When expedited services are requested, additional labor charges and costs may apply from added labor, machine time, and additional outside costs. If an expedited request occurs during a job in process, the Buyer agrees to assume the added costs.
Order Cancellations: In general, items cannot be cancelled once an order is in process. An order cancellation may be requested and MDM Manufacturing will determine if it is possible to halt the process. If cancellation is possible and allowed, the Buyer assumes immediate liability for materials, labor, and processing already completed. Such charges may include, but are not limited to raw materials, unamortized tooling, engineering, opportunity cost, and finishing. Charges will be determined at the time of cancellation by MDM Manufacturing.
Quality Claims: MDM Manufacturing warrants that all materials are made to customer provided CAD/Drawings except in circumstances when noted or where deviation are approved. Claims for material shortages must be made within five days after receipt of order. Claims to re-work or correct work performed must be made within two weeks of delivery. In order to receive credit for out of spec or faulty parts, the Buyer must return all pieces to MDM Manufacturing. MDM Manufacturing is not responsible for errors in customer provided data as specified above.
Partners: MDM Manufacturing reserves the right to partially or wholly use partners for any aspect of customer quoting including, but not limited to materials, hardware, finishing, assembly, painting, inspection, fabrication, re-work and shipping.
Shipping/Delivery Methods: MDM Manufacturing is not responsible for damages or delays caused during shipping or production due to the following reasons: accidents, equipment breakdowns, labor disputes, embargoes, acts of God, supplier delays, government restrictions, riot, or carrier delays. Bulk packaging is standard. The Buyer shall bear the expense of unforeseen packaging or handling costs, losses, and delays.
Taxes: All sales and/or use taxes and custom duties imposed by Federal, State, County or Municipal Authority upon seller’s transfer and delivery of merchandise shall be paid by the Buyer unless collected by MDM Manufacturing during invoicing.
Payments: Wire, ACH transfer, checks, and credit card payments are accepted. Credit card payments will incur up to a 4% use fee.
Payment Due Date: Payment must be received by the end of the day (EST) on the due date. A received payment is defined as funds payable/paid in respect of a Purchase that have been cleared for use to MDM Manufacturing by banks or intermediaries following any holding period which may have been placed on those funds. If the Payment Due Date falls on a Saturday, Sunday or holiday in United States, MDM Manufacturing will extend the Payment Due Date to the following business day; any interest still applies during this period. MDM Manufacturing is not liable for uncleared funds associated with mail delays, bank closures, payment errors, processing delays, or rejected payment attempts. There will be a 5% late fee added to payments received after the Payment Due Date and past due invoices. Increments of 5% will be added to each additional 30 days past due.
Delinquent Accounts: An account will be deemed delinquent if invoices are past due beyond 15 days. A delinquent account will result in a pause of any production, shipment, consultation, transactions, and business until payments are cleared and the account restored. Additional costs associated with the pause and resumption of services will be charged to the account, as applicable.
Limited Liability: MDM Manufacturing liability is limited to the amount of each individual Purchase Order or Payment. Under no circumstances will MDM Manufacturing be liable for consequential or special damages arising from late delivery, any defect, use of MDM Manufacturing products, or delinquent accounts.
Recovery of Costs: If any legal action or other proceeding is brought for the interpretation or enforcement of this agreement, or because of an alleged breach, default, or other dispute in connection with any provisions of this agreement, the agreement holding party (MDM Manufacturing) shall be entitled to recover reasonable attorney’s fees, whether for negotiation, trial, appellate, bankruptcy or other services and other costs incurred in the action or proceeding, in addition to any other relief to which it or they may be entitled.
Governing Law: In situations where legal actions take place, ALL actions, filings, and proceedings must occur in the MDM Manufacturing’s home state of North Carolina.
